Applicable Law

These Terms and any disputes arising out of or related to Learncy AI’s Services shall be governed by and construed in accordance with the laws of the State of Tennessee , excluding its conflict of law principles.

Jurisdiction

You agree that any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Williamson County, Tennessee , and you irrevocably submit to the personal jurisdiction of such courts.

Arbitration Agreement (Optional)

To expedite resolution and reduce litigation costs, both parties agree to first attempt to negotiate any dispute informally for at least 30 days before initiating arbitration.

If unresolved, the dispute shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration shall take place in Williamson County, TN, and judgment on the award may be entered in any court with jurisdiction.

Exceptions to Arbitration:

Claims requiring injunctive relief (e.g., intellectual property violations) may be brought in court without prior arbitration.
